Minutes of Special General Meeting
8 April 2020
Dear Members,
Sorrento Sailing Couta Boat Club (SSCBC or Club) advises that the Special General Meeting scheduled for Monday 13 April 2020 at 0930 will now be held by way of ZOOM video conference technology. A link and instructions for joining the virtual meeting are provided below.
Conducting the meeting using technology is suggested by Consumer Affairs Victoria to ensure compliance with COVID-19 gathering restrictions and is permitted under Rule 37 (1) of the Club Rules.
The single item of business for the General Meeting is to pass a resolution to remove the incumbent auditor which is required under Section 106 (1) of the Associations Incorporation Reform Act 2012 (the Act).
The decision to change our auditor was made based on best practise governance and as part of the restructure of the Club’s finance function which included technology and personnel changes. Following a tender process, Accru Accountants was selected and will be appointed to audit our accounts for the financial year ended 31 March 2020. A separate resolution to appoint Accru is not required under Club Rules or the Act.
The General Committee would like to thank retiring auditor McLean Delmo Bentley for its service to SSCBC over many years.
For the avoidance of doubt, a member is financial if 2019/20 subscriptions have been paid as annual subscriptions for 2020/21 are not due and payable at the time of the meeting.
A proxy form is attached (click link below). If you are unable or unwilling to attend the virtual meeting and wish to vote, please complete the proxy form attached and send to [email protected] before 0930 Saturday 11 April 2020. Alternatively, if you are unable to access facilities to complete and sign the prescribed form, an email to [email protected] which outlines your directions in respect of your proxy will be deemed acceptable under Rule 36 (5) given the special circumstances. Proxy forms received after this time must be disregarded in accordance with Club Rules.
